Board of director’s report is the main part of company’s annual report as its required having details of the company. According to companies act 2013 read with Companies (Management and Administration) Rule, 2014, every company is required to attach an extract of annual return in form MGT-9 to company’s board report.
This means the extract of annual return in form MGT-9 is to be attached to director’s report while filing with ROC.
You are not required to file an extract of annual return in Form MGT-9 separately with the registrar of companies.
While filing form AOC-4, every company is required to attach MGT-9 in addition to the balance sheet, profit and loss account, auditor’s report and director’s report etc.
Signing of the extract of annual return
Extract of annual return in form MGT-9 shall be signed by the person who is authorised by the board to do so on behalf of the company. If the chairperson of the company is authorised then he or she can sign the form.
If there is no such authorisation for signing form MGT-9 then it has to be signed by at least two directors, one of whom shall be a managing director.
If the company has only one director (i.e. in the case of a One Person Company) then he or she can sign the extract of annual return. This means signing of minimum two director criteria will not be applicable to One Person Company.
Important Information to be provided in Form MGT-9
Form MGT-9 is required to have following information;
- Registration details of the company. It will automatically be picked up after entering companies CIN.
- business activities contributing 10% or more of the total turnover of the company
- Shareholding pattern (Equity share capital breakup as a percentage of total equity) Category wise shareholding.
- Remuneration of Directors and Key Managerial Personnel.
